Conversion Remains the Next Test; Reiterate Buy
ReefIQ could grow with customers as they add data and expand AI use. MindWalk’s fireside chat during
our 3rd Annual AI-Based Drug Discovery and Development Virtual Conference added a more specific commercial
mechanism to the ReefIQ thesis. Management described an onboarding charge and separate usage meters for the
size of connected client data and biological relationships, and for AI activity over those data. Our September 23
note already highlighted the company’s model-agnostic architecture, technical deployment, enterprise negotiations,
and the need for a signed ReefIQ contract. We believe the proposed model offers a path to multi-year customer
relationships, with spending potentially expanding as customers add data and increase usage. Enterprise conversion
remains the next test; initial contract scope and recurring-payment terms should help define the commercial
opportunity.

A model-agnostic data layer could support long-term relevance. HYFT Technology enriches biological data
and powers ReefIQ, which connects information across programs. LensAI runs on ReefIQ to support antibody
assessment and optimization. MindWalk designed the platform to allow customers to change or add AI models
while preserving the connected biological data beneath them. We believe this separation could support ReefIQ’s
usefulness as models evolve and customers add research data.

Data expansion and AI activity provide two potential revenue drivers. Management described ReefIQ units
as measuring the size of the biological-context map and reasoning units as measuring AI activity over connected
datasets. Under MindWalk’s proposed model, a customer could increase spending by connecting more programs
and historical data, expanding AI use, or both. We view this as a potential usage-based expansion mechanism
rather than a fixed subscription alone. However, the company is still modeling the ongoing economics, including
reasoning-unit consumption.

Client-controlled data and traceable evidence could support enterprise adoption. Management said customer
data remain in the customer’s environment rather than being transferred to MindWalk’s servers for model training.
ReefIQ preserves links to source experiments, datasets, and publications, allowing users to trace insights and
distinguish direct evidence from inferred relationships or hypotheses. The platform also applies customer-defined
access and data-use rules to keep program-specific and partner-specific information separate. We believe these
features could help ReefIQ complement pharma’s internal AI systems while preserving control of proprietary
information. The company also described connecting historical data from failed programs with current research. In
our view, accumulated program history and biological connections could make ReefIQ more embedded in customer
workflows over time.

Reusable implementation work could support margin improvement. Management expects work developed for
one customer to be reused in subsequent deployments, potentially improving margins over time. Early deployments
could nevertheless require substantial resources and initially carry low margins. We plan to monitor implementation
scope, recurring usage, and the resources needed for later deployments to assess whether operating leverage
develops. MindWalk also discussed smaller, molecule- or disease-focused deployments for customers without a
broad enterprise program map. These focused deployments could provide an entry point for smaller customers
without requiring a broad enterprise rollout.

Valuation and Risks. We maintain our Buy rating and 12-month price target of $5.00 per diluted share. We derive
our price target from a risk-adjusted net present value (rNPV) analysis of projected revenues, assuming a 6%
discount rate and a 1% terminal growth rate. We derive an rNPV of C$351M and add net cash and equivalents of
C$7.6M to arrive at a 12-month price target of $5.10 per diluted share, which we round to $5.00 per share. Risks
that could prevent the stock from reaching our price target include: (1) commercial risk; (2) execution risk; (3) legal
and regulatory risk; (4) competition; and (5) intellectual property risk

H.C. WAINWRIGHT & CO, LLC RATING SYSTEM: H.C. Wainwright employs a three tier rating system for
evaluating both the potential return and risk associated with owning common equity shares of rated firms. The
expected return of any given equity is measured on a RELATIVE basis of other companies in the same sector. The
price objective is calculated to estimate the potential movements in price that a given equity could reach provided
certain targets are met over a defined time horizon. Price objectives are subject to external factors including industry
          events and market volatility.

          RETURN ASSESSMENT
Market Outperform (Buy): The common stock of the company is expected to outperform a passive index comprised
of all the common stock of companies within the same sector.
Market Perform (Neutral): The common stock of the company is expected to mimic the performance of a passive
index comprised of all the common stock of companies within the same sector.
Market Underperform (Sell): The common stock of the company is expected to underperform a passive index
comprised of all the common stock of companies within the same sector.

officer of NetraMark (AIAI-CA; not rated), discussed where platforms can sustain an
advantage as AI design tools become cheap and widely available. The discussion
focused on experimental data generation, client-specific biological context and the
analysis of patient populations in small clinical datasets.
Bottom line. The panel agreed that cheaper design shifts value toward what cannot
be easily reproduced, such as trustworthy experimental data, client-specific biological
context and an understanding of patient populations. We would separate a platform’s
ability to keep generating decision-relevant evidence from the clinical value of any
single asset it produces.
Continuous data generation can outlast any single dataset. Greenside described
BigHat’s loop of making antibodies, measuring their properties, validating the results
and feeding them into the next design round, with a design-to-test cycle of about
a week. She argued that a static dataset “can depreciate,” while the engine that
generates new data does not. We would credit the loop when a new program needs
measurements that existing datasets do not provide.
Documented failures are an underused asset. Bath ranked well-documented
negative results as the private data that hold value longest, because public
sources emphasize successes. Greenside described tracking production conditions,
instruments, processing methods and quality controls for every measurement. These
records let a team tell a poor molecule from a production or measurement problem,
which determines whether to reject a design, rerun the test, or use the result for training.
Client-specific context could deepen relationships without pooling data. Bath
said ReefIQ connects a client’s past, present and future data inside the client’s
own environment, and that MindWalk keeps platform know-how rather than client
sequences. Geraci said NetraMark learns general features of trial data without passing
one sponsor’s biomarker combinations to another. We see value within an account
from connected program history, and across accounts from reusable methods where
contracts permit reuse.
Reusable engineering could improve platform economics. Bath described
substantial engineering and data organization before recurring revenue from its ReefIQ
platform, followed by a relationship that is difficult to exit. We would look for later
deployments that need less new engineering, which would let revenue grow faster than
delivery costs.
Patient-group insights need a prospective testing plan. Geraci described using
NetraAI for stratification and enrichment, with subgroups and statistical tests specified
in advance. NetraMark’s December 2025 FDA meeting was a nonbinding scientific
exchange, not an endorsement. We would look for evidence that a patient distinction
holds beyond the dataset that produced it, under a sponsor’s prespecified plan with
controls for false positives.
Owned assets carry the most upside and the most risk. Greenside said wholly
owned drugs offer the greatest long-term upside, with partnerships funding the platform
and diversifying risk. Bath agreed that ownership captures more upside but also carries
more cost and risk. We would assess an asset on its clinical evidence and retained
rights, and a platform on repeatable results across internal and partner programs.
Conclusion. We would focus on platforms that keep producing decision-relevant
evidence and show that it works on new targets, molecule classes and patient
populations. The panel made a credible case that the moat has moved below the model
but did not provide independent evidence that any one approach improves clinical
outcomes.

   Data Generation and Experimental Quality

Datasets can be shared, but a differentiated engine requires continuous data generation. Greenside
distinguished BigHat’s ongoing data-generation capability from the defined VHH developability dataset it contributed
to Eli Lilly’s (LLY; not rated) TuneLab, a federated-learning platform with more than 100 members. She said BigHat
can generate comparable datasets with a different scope in weeks, and that predictions from shared models still
have to be tested in the lab. We believe the ability to refresh evidence for new design objectives retains value after
an individual dataset improves a shared model. The advantage lies in producing the next relevant measurements,
not in exclusive control of every existing dataset.
Better data often beat better architecture. Greenside described internal tests that held data constant while varying
model architecture, and held architecture constant while varying data. In BigHat’s experience, changes in data size,
quality and diversity often improved performance more than architecture changes alone. With a design-to-test cycle
of about a week, she said BigHat may prefer to spend two weeks generating data for a specific objective rather than
tuning the model. These are internal comparisons, not independent studies. We would ask platforms to show which
gains came from measurements and which from methods, tied to the property the program aims to improve.
Well-documented failures are sparse and can be valuable for guiding future experiments. Bath argued that
public information emphasizes successes, which raises the value of negative results with reliable provenance. She
ranked failed results above developability data, which she said can be commoditized quickly, and efficacy data,
which are rare and usually owned by the sponsor. BigHat’s October 6 update on its TuneLab work offers an example:
samples that did not express well enough or had an unclear thermostability curve were flagged rather than
discarded. We believe documenting why a result failed determines whether to reject a design, repeat an experiment
or use the observation for training. A flagged result can be informative without being an equally reliable label for
   every purpose.

Exhibit 1. Three Potential Sources of Advantage

Potential advantage Platform approach Evidence that would support the advantage

Experimental data BigHat generates measurements, Repeatable measurements, improved candidate
generation records experimental conditions and properties and performance on new molecular
feeds results into later design cycles. problems.

Customer-specific Bath described ReefIQ connecting Useful scientific decisions, paid deployment,
biological context information within a client’s ongoing usage and implementation costs.
                             environment, while MindWalk retains
                             platform know-how.

Patient analytics Geraci described identifying A sponsor-specific testing plan, control of false-
explainable differences within small, positive findings and prospective evidence that
heterogeneous clinical datasets. the patient distinction remains useful.

Customer Context and Recurring Platform Economics

The context layer belongs to the client, and the know-how stays with the platform. Bath said ReefIQ enriches a
client’s data with MindWalk’s HYFT biological patterns, drawing on 660 million patterns and 25 billion relationships,
inside the client’s own environment. MindWalk retains platform know-how but, she said, cannot see client data or
reverse engineer client sequences. Geraci drew a similar line at NetraMark, which learns general features of well-
designed trials without transferring one sponsor’s biomarkers, genes or clinical variables to another. We see two
opportunities. Within an account, connected program history could encourage expanded paid use. Across accounts,
reusable methods could improve later work without moving confidential findings, where contracts permit reuse.
These data-isolation claims are management assertions, not audited security findings.

ReefIQ’s operating leverage depends on reuse, not relationship length. Bath described spending roughly 18
months engineering and organizing a client’s data environment before recurring ReefIQ revenue, with an additional
subscription to MindWalk’s AI applications. She said moving away from an established data platform is difficult, and
named the number of clients bringing full ReefIQ integration in-house as the metric to watch over the next year. We
see the financial opportunity in reusable engineering rather than switching costs alone. If later deployments need less
new engineering, or existing clients expand usage without a matching rise in support, revenue could grow faster than
delivery costs. The 18-month period was management’s illustration, not a standard contract term or a guaranteed
   onboarding schedule.

   Clinical Analytics and Asset Development

Enrichment is the regulatory opening, and it is narrow. Geraci said clinical data are expensive and often small,
citing roughly $40,000 to enroll one patient in an Alzheimer’s trial, and that NetraAI was built to find explainable
signals in small datasets. He described stratification and enrichment as the main framework discussed at
NetraMark’s December 2025 Critical Path Innovation Meeting with the FDA. NetraMark’s release says the FDA gave
feedback on prespecified, alpha-controlled predictive enrichment and on identifying responder-enriched subgroups
while maintaining control of Type I error. The release also states that the meeting was non-regulatory, drug product-
independent and non-binding, and not an FDA endorsement. For trial use, the key evidence is whether a patient
distinction holds beyond the data used to find it, shown prospectively with the subgroup, hypothesis and false-
positive controls specified in advance. The size of the eligible group also matters. If benefit is established only in a
narrow subgroup, the treatment population could be smaller.

Owned assets and partnerships offer different risk-and-return profiles. Greenside said wholly owned drugs offer
the greatest long-term upside, while partnerships fund platform investment and add development paths. Bath agreed
that ownership captures more upside but carries more cost and risk. BigHat dosed the first patient in its Phase 1
   study of BHB810, a CDH17-directed antibody-drug conjugate, on September 1, 2026, and closed a $75M Series C
on September 24. Greenside expects a second program to enter the clinic at the start of 2027 and said no single
program should be the only measure of the platform. We would treat a positive BHB810 result as support for the
asset and its approach, and consistency across internal and partner programs as broader evidence for the platform.
Both should be assessed separately from the economics of the rights retained.
